Terms of Service

These Terms of Service ("Terms") govern your use of the FileRelay website and services at filerelay.io (the "Service"), operated by FileRelay ("we", "us", "our"). By using the Service, you agree to these Terms.

1. Account Registration

You must create an account to use the Service. You agree to provide accurate information, keep your password secure, and notify us immediately of unauthorized access. You are responsible for all activity under your account.

2. Service Description

FileRelay is a document routing platform that receives documents from SAP systems via the ArchiveLink protocol and routes them to cloud storage, APIs, and other destinations configured by you. FileRelay routes documents but does not provide long-term document storage.

3. Acceptable Use

You agree not to:

• Use the Service for illegal purposes
• Upload malicious content or attempt to compromise the Service
• Exceed your plan's usage limits through automated means designed to circumvent limits
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Share account credentials or API keys with unauthorized parties
• Use the Service to process data in violation of applicable data protection laws

4. Plans and Billing

Free Plan (Starter)

The Starter plan is free and includes limited usage (100 documents per day, 1 workspace, 2 destinations). We reserve the right to modify free plan limits with 30 days' notice.

Paid Plans

Paid plans (Professional and Business) are billed monthly or annually via Stripe. Prices are listed on our pricing page and may change with 30 days' notice.

Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately. Downgrades take effect at the end of the current billing period.

Refunds

We offer a full refund within the first 14 days of a paid subscription. After 14 days, refunds are prorated at our discretion. Contact [email protected] for refund requests.

5. Data Ownership

Your data is yours. Documents you route through FileRelay remain your property. Configuration data (workspace settings, destinations, connections) belongs to you and can be exported at any time.

We do not claim any intellectual property rights over your documents or data.

6. Document Processing

FileRelay processes documents as follows:

1. Documents are received from your SAP system via ArchiveLink
2. Documents are temporarily stored in encrypted storage
3. Documents are forwarded to your configured destinations
4. Documents are deleted from temporary storage after successful forwarding

We do not read, analyze, or mine the content of your documents. We process only metadata (file name, size, type) for routing and audit purposes.

7. Availability

We aim to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance.

We are not liable for downtime caused by:

• Your SAP system or network issues
• Third-party destination services (S3, Azure, SharePoint, etc.)
• Force majeure events

8. Security

We implement industry-standard security measures including TLS encryption, credential encryption at rest, per-tenant data isolation, and regular security reviews. Our security practices are described in our Privacy Policy.

9. Limitation of Liability

To the maximum extent permitted by law, FileRelay's total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of data or business interruption.

10. Indemnification

You agree to indemnify and hold FileRelay harmless from claims arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

11. Termination

You may delete your account at any time. We may suspend or terminate your account for violation of these Terms, with notice when possible.

Upon termination:

• Your access to the Service will be revoked
• Your data will be deleted within 30 days
• Active subscriptions will be cancelled (with prorated refund at our discretion)

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or notice on the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United Kingdom. Disputes will be resolved in the courts of England and Wales.
